Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you ("User") and Gadwai ("Company", "we", "us", or "our") regarding your use of Gadwai Desktop software and any related services (collectively, the "Service").

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Subject to these Terms and your active subscription status, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use Gadwai Desktop on devices you own or control, solely for your personal or internal business purposes.

Free tier: The Free license is provided at no charge and permits up to three (3) feasibility studies per calendar month without a subscription.

Pro subscription: A monthly or annual subscription grants unlimited study generation on up to two (2) devices owned by the subscriber. The license remains active for the duration of the paid subscription period.

Teams subscription: A monthly or annual subscription grants unlimited study generation across up to five (5) named seats within a single organization. The license remains active for the duration of the paid subscription period.

You may not:

• Redistribute, resell, sublicense, or transfer the software or license keys to third parties.
• Reverse-engineer, decompile, or disassemble the software except as permitted by applicable law.
• Remove or alter any proprietary notices, labels, or marks on the software.
• Use the software for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to circumvent any license enforcement mechanisms.

Gadwai Desktop and all associated intellectual property rights are and remain the exclusive property of the Company. These Terms do not convey any ownership interest in the software. All rights not expressly granted herein are reserved.

The AI-generated output produced by the software using local Ollama models belongs to you. We claim no ownership over the feasibility studies, analyses, or other content you generate.

Gadwai Desktop integrates with Ollama, an open-source local inference runtime. Your use of Ollama is governed by its own license terms. We are not responsible for the accuracy, availability, or behavior of third-party components.

AI-generated content is produced by locally run language models. The Company makes no warranty as to the accuracy, completeness, or fitness for purpose of any AI-generated output.

Gadwai Desktop is designed as a local-first application. All AI inference runs on your device. Your project descriptions and generated studies are never transmitted to our servers. See our Privacy Policy for full details.

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR OPERATE WITHOUT INTERRUPTION.

AI-generated feasibility studies are for informational purposes only and do not constitute professional financial, legal, or business advice. You should seek qualified professional guidance before making material business decisions.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Billing cycles. Paid subscriptions are billed on a monthly or annual basis from the date of your first payment.

Auto-renewal. Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You will receive a reminder email before annual renewals.

Price changes. We may change subscription prices with at least 30 days' advance notice. Price changes take effect at your next renewal. Continued use after a price change takes effect constitutes acceptance of the new price.

Cancellation. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain access until that date. No partial-period refunds are issued except as described in our Refund Policy.

We may release updates to the software from time to time. Active subscribers receive all updates for their plan tier. We reserve the right to modify these Terms at any time. Material changes will be communicated via the website or in-app notification. Continued use of the software after such notice constitutes acceptance of the updated Terms.

We may suspend or terminate your subscription if you breach these Terms. Upon termination, your access to paid features will cease at the end of the current billing period. You must cease all use of the software and delete all copies in your possession. Provisions that by their nature should survive termination (including Sections 4, 7, 8, and 12) shall survive.

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in the Company's jurisdiction of incorporation.
